Lantheus Holdings Inc., based in Bedford, Massachusetts, has announced plans to acquire Life Molecular Imaging Ltd., a subsidiary of Life Healthcare Group Holdings Ltd., for $350 million upfront, and up to $400 million in additional earn-out and milestone payments.

Life Molecular brings Neuraceq, an F-18 PET imaging agent approved for detecting beta-amyloid plaques in patients being evaluated for Alzheimer’s disease or other cognitive impairments.

“This acquisition aligns with our strategy to drive long-term growth and value creation by investing in high-potential, complementary assets and R&D capabilities,” said Lantheus CEO Brian Markison. “We are excited to combine resources and expertise to deliver a meaningful impact for patients and clinicians worldwide.”

The deal includes Life Molecular’s established R&D capabilities, manufacturing infrastructure, and international presence, which Lantheus plans to leverage to expand access to Neuraceq and advance its radiopharmaceutical pipeline. The transaction is expected to close in the second half of 2025, pending regulatory and shareholder approvals.

In addition to its Alzheimer’s diagnostic capabilities, Life Molecular’s portfolio complements Lantheus’ existing pipeline, which includes assets targeting oncological indications such as prostate and breast cancers.

This acquisition builds on Lantheus’ 2024 purchase of global rights to a clinical-stage radiotherapeutic and radiodiagnostic pair targeting oncology indications, further solidifying its leadership in the radiopharmaceutical sector.

In 2024, Lantheus also acquired Meilleur Technologies, and with it, worldwide exclusive rights to NAV-4694, a next-generation ß amyloid PET imaging agent. NAV-4694, also known as F18-flutafuranol, is currently in Phase 3 development and is utilized in various investigational therapeutic trials.
